Terms of service

These Terms of Service (the "Terms") set out the conditions for using the online store and website operated by STROBOFACTORY Inc. ("we," "us," or "our") and the products and services provided through them (collectively, the "Services").

Article 1 (Application)

1. These Terms apply to the relationship between us and users in connection with use of the Services and purchases of our products.

2. Product pages, the Return and Refund Policy, the Shipping and Digital Delivery Policy, and other product- or transaction-specific conditions form part of these Terms. If specific conditions differ from these Terms, the specific conditions prevail for the relevant product or transaction.

Article 2 (Product Purchases and Formation of an Order)

1. Before placing an order, users must review the product details, price, system requirements, license terms, payment terms, and other conditions displayed on the product page and at checkout and must enter accurate information.

2. A sales contract is formed between us and the user when the user completes the order process and payment is confirmed.

3. Creating or signing in to a customer account is not required to purchase a product. If a user uses a customer account, the user must appropriately manage the information used for authentication.

Article 3 (Prices, Additional Charges, and Payment)

1. Product prices are displayed on each product page.

2. No shipping fee applies to digital products. Users are responsible for internet access and other communication charges required to purchase or download a product. If taxes or other charges apply, the information displayed at checkout applies.

3. Available payment methods are the methods provided through Shopify Payments and PayPal that are displayed at checkout.

4. Payment is captured when the order is placed. The procedures of each payment provider may also apply.

Article 4 (Delivery of Digital Products)

1. The products currently sold are digital products provided by download.

2. After payment is confirmed, a download link will be sent immediately to the email address provided at checkout.

3. The download link is also displayed on the order status page and the thank-you page.

4. If the notification email does not arrive or there is a problem with a download or file, the Shipping and Digital Delivery Policy and the Return and Refund Policy apply.

Article 5 (System Requirements and License Terms)

1. Before purchase, users must review the system requirements, functions, and license terms displayed on each product page.

2. Use of a product is subject to the product-specific conditions displayed on each product page or elsewhere by us. These Terms do not establish a new product-specific license.

Article 6 (Intellectual Property Rights)

Intellectual property rights in the Services, software, images, text, and other content belong to us or the applicable rights holder. Purchasing a product does not transfer intellectual property rights beyond the scope set out on the product page or in other applicable specific conditions.

Article 7 (Prohibited Conduct)

Users must not engage in any of the following conduct:

  • (1) Conduct that violates laws or public order and morals;
  • (2) Conduct that infringes our or a third party's intellectual property rights, privacy, or other rights or interests;
  • (3) Unauthorized access, placing an excessive load on the Services or related systems, or interfering with their operation;
  • (4) Fraudulent payment, unauthorized use of authentication information, or impersonation of another person;
  • (5) Copying, distributing, selling, or using a product or download link beyond the scope permitted by the product page or other specific conditions; or
  • (6) Other conduct that harms the security or legitimate operation of the Services.

Article 8 (Changes to or Suspension of the Services)

We may change or suspend all or part of the Services where necessary for maintenance, security issues, communication failures, force majeure, or other unavoidable circumstances. Where possible, we will provide notice by a reasonable method.

Article 9 (Warranties and Liability)

1. We provide products and support in accordance with each product page and the applicable specific conditions. Because we do not guarantee compatibility with every device, third-party software, or future operating-system change, users must review the system requirements before purchase.

2. Any provision that excludes or limits our liability applies only to the extent permitted by Japan's Consumer Contract Act and other applicable laws. Nothing excludes or limits liability for loss caused by our willful misconduct or gross negligence.

Article 10 (Cancellations and Refunds)

Cancellations after an order, responses to product problems, and refunds are governed by the Return and Refund Policy.

Article 11 (Personal Information)

We handle personal information obtained in connection with the Services in accordance with the Privacy Policy.

Article 12 (Changes to These Terms)

We may amend these Terms in response to changes in the Services or applicable law. The amended Terms will be posted on this website together with their effective date, and notice will be provided by an appropriate method where required by law.

Article 13 (Notices and Communications)

We send communications concerning orders, digital product delivery, customer accounts, or support to the email address or other contact details provided by the user. Users must provide accurate contact details that can receive our communications.

Article 14 (Assignment)

A user may not assign or provide as security the user's status, rights, or obligations under these Terms or a purchase contract without our prior written consent, except where applicable law provides otherwise.

Article 15 (Governing Law and Jurisdiction)

1. These Terms, the Services, and product purchases are governed by the laws of Japan.

2. Any dispute relating to the Services or a product purchase will be subject, as the court of first instance, to the Nagasaki District Court or the Nagasaki Summary Court, as applicable according to the amount of the claim and other jurisdictional rules.

3. However, nothing in these Terms limits any mandatory rights available to customers under applicable law.
